1. Acceptance of Terms

By accessing or using allwedge.com (the "Site"), you agree to be bound by these Terms of Use ("Terms"). These Terms apply to all visitors, users, and anyone who accesses the Site. If you do not agree with these Terms, please discontinue use of the Site immediately.

These Terms constitute a legally binding agreement between you and AllWedge ("we," "us," or "our"), a company based in Canada.

2. About This Site

allwedge.com is a website designed to provide information about AllWedge's indoor golf simulator booking and management software platform. The Site allows prospective customers to learn about our product offerings and schedule product demonstration calls. This Site does not provide access to AllWedge's booking platform software directly.

3. Acceptable Use

You agree to use the Site only for lawful purposes and in a manner consistent with all applicable local, provincial, national, and international laws and regulations.

You agree NOT to:

  • Use the Site for any fraudulent, deceptive, or unlawful purpose

  • Attempt to gain unauthorized access to any portion of the Site or its related systems

  • Transmit any viruses, malware, or other harmful code through the Site

  • Use automated tools, bots, scrapers, or crawlers to extract data from the Site without our prior written consent

  • Reproduce, duplicate, copy, sell, or exploit any portion of the Site without express written permission from AllWedge

  • Impersonate any person or entity or falsely represent your affiliation with any person or entity

  • Submit false, misleading, or inaccurate information through any form on the Site

  • Interfere with or disrupt the integrity or performance of the Site or its infrastructure

  • Attempt to reverse engineer, decompile, or disassemble any software or technology underlying the Site

4. Demo Requests and Communications

When you submit a demo request through our Site:

  • You consent to being contacted by AllWedge via email and/or phone to schedule and conduct a product demonstration

  • You represent that the information you provide is accurate and complete

  • You understand that submitting a demo request does not create a contractual obligation for AllWedge to provide services

  • You may opt out of further communications at any time by contacting us at the information provided below

5. Intellectual Property

Our Content

All content on the Site, including but not limited to text, graphics, logos, images, screenshots, icons, software, and the overall design and compilation thereof, is the exclusive property of AllWedge or its licensors and is protected by applicable Canadian and international intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use in evaluating our services. This license does not include the right to:

  • Modify or copy any materials from the Site

  • Use any materials for commercial purposes

  • Remove any copyright, trademark, or proprietary notices

  • Transfer the materials to another person

Trademarks

"AllWedge" and associated logos and product names are trademarks of AllWedge. You may not use our trademarks without our prior written consent.

The Site may contain links to third-party websites or services, including but not limited to Cal.com for demo scheduling. These third-party sites are governed by their own terms and privacy policies. We are not responsible for:

  • The content, accuracy, or practices of any third-party sites

  • Any damages or losses arising from your use of third-party sites

  • Any transactions or interactions between you and third-party providers

7. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALLWEDGE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE

  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE

  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALLWEDGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL

  • DAMAGES ARISING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE

  • DAMAGES ARISING FROM ANY CONTENT OBTAINED FROM THE SITE

  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA

IN NO EVENT SHALL ALLWEDGE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SITE EXCEED ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

9. Indemnification

You agree to defend, indemnify, and hold harmless AllWedge and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or access to the Site

  • Your violation of these Terms

  • Your violation of any applicable law or regulation

  • Any content or information you submit through the Site

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of your information as described in our Privacy Policy, available at allwedge.com/privacy.

11. Modifications to the Site and Terms

Changes to the Site

We reserve the right to modify, suspend, or discontinue the Site or any portion thereof at any time without notice or liability. We are not obligated to maintain, update, or support the Site.

Changes to These Terms

We may revise these Terms at any time by updating this page. The revised Terms will be effective immediately upon posting. The "Last Updated" date at the top of this page will reflect the most recent revision. Your continued use of the Site following any changes constitutes your acceptance of the updated Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. You hereby consent to the personal jurisdiction of such courts and waive any objections to such jurisdiction or venue.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AllWedge with respect to your use of the Site and supersede all prior and contemporaneous agreements, communications, and proposals, whether oral or written, between you and AllWedge.

15. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by AllWedge.
